What Is a Memorandum of Association?

The Memorandum of Association, or MOA, is a constitutional company document. Depending on the legal form, it records essential matters such as the company's name, objects or activities, capital, ownership structure, partners, management and rules governing the relationship between the partners and the company.

The MOA should not be treated as a generic notary form. Its content must align with the commercial licence, applicable company law and the requirements of the competent licensing and registration authority.

UAE Commercial Companies Law and Registration

Article 15 of Federal Decree-Law No. 32 of 2021 provides that the MOA and amendments become effective after registration in the commercial register with the competent authority. It also requires companies to notify the competent authority and registrar of specified changes in registered details within the statutory period.

This means the legal project is not completed merely because signatures have been authenticated or a document has been notarised. The company must complete the registration steps required by the competent authority.

When Is MOA Notarisation Relevant?

MOA-related formalities commonly arise in:

  • formation of a mainland limited liability company;
  • amendments to ownership or capital;
  • changes to management provisions;
  • changes to the company's name or activities;
  • admission or exit of partners;
  • changes to profit-and-loss provisions where permitted;
  • restructuring or conversion;
  • updates required after corporate transactions.

Whether a particular amendment requires notarisation, electronic authentication, registrar approval or another formal step must be checked against the competent authority's current procedure.

Mainland Companies and Free Zones Are Not Interchangeable

The UAE has multiple company-registration environments. Mainland companies are registered through the competent Emirate-level economic/licensing authority under the applicable federal framework. Free zones can have their own company regulations, forms and registrar procedures.

A website should therefore avoid saying that “all UAE MOAs must be notarised in the same way.” The correct statement is that the constitutional document and any amendment must follow the legal and registration formalities applicable to that company.

DIFC and ADGM, in particular, operate distinct companies-law and registrar frameworks and should not be described as ordinary mainland MOA notarisation routes.

Who Can Sign an MOA or Amendment?

The file should establish the legal capacity and authority of every signatory. For an individual shareholder, identity and capacity are central. For a corporate shareholder, the review can require:

  • certificate of incorporation or trade licence;
  • constitutional documents;
  • board or shareholder resolution;
  • authorised-signatory evidence;
  • corporate Power of Attorney;
  • beneficial ownership information;
  • foreign authentication and certified translation where the shareholder is overseas.

The fact that a person is a director or manager does not automatically answer whether that person can approve a particular constitutional change.

Company Formation

At formation, the MOA should correspond with the approved company name, activities, capital and ownership data. Inconsistent information between the MOA, licence application and shareholder records can delay the process.

Where a corporate shareholder is involved, its own authority chain should be reviewed before the UAE formation documents are signed.

MOA Amendments

An amendment should identify both the existing constitutional position and the change being approved. Depending on the transaction, the amendment may relate to a single clause or require a restated MOA.

Change of partners

The constitutional document and commercial register may need updating to reflect the new ownership position.

Capital changes

Capital increases, reductions or changes in ownership percentages can involve statutory and authority-specific requirements beyond document notarisation.

Manager or governance changes

The MOA may need amendment where management powers are embedded in the constitutional document.

Change of activities or company name

Licensing approval and registry updates are usually central to the process.

Shareholder Approval

The required shareholder approval depends on the company's legal form, the law, the existing MOA and the nature of the amendment. A board resolution cannot automatically substitute for a partner or general-assembly approval where the latter is legally required.

The approval document and the MOA amendment should be consistent. Dates, ownership percentages, names and authorised signatories should match across the file.

Foreign Shareholders and Corporate Documents

Foreign corporate documents can require authentication for UAE use. Before starting an embassy or MOFA chain, determine exactly which foreign documents the UAE authority requires and in what form.

Common foreign records include certificates of incorporation, articles, registers, board resolutions and corporate POAs. Certified Arabic legal translation may be required for the UAE process.

Electronic and Remote Procedures

The UAE legal framework permits electronic notarial processes, and company authorities increasingly provide digital workflows. However, the availability of an online portal does not remove the need to prove identity, capacity, corporate authority and the legal basis for the amendment.

The relevant licensing authority's current service description should be checked for the exact company and amendment.

Fees

Official costs can include notarial fees, licensing/registry amendment charges and other authority fees. Cabinet Resolution No. 19 of 2024 provides a federal notarial fee framework, but company-registration charges are separate and can vary by Emirate, legal form and transaction.

Professional legal drafting, corporate document review, certified translation, foreign legalisation and courier costs are also separate unless expressly included.

Using an outdated ownership table

The MOA, resolution, licence and register must tell the same corporate story.

Assuming notarisation alone completes the amendment

Registration with the competent authority is legally significant.

The corporate shareholder's representative lacks authority

A foreign or UAE company may need a specific resolution or POA before its representative can approve the amendment.

Free-zone rules are treated as mainland rules

The registrar's own regulations and forms may control.

The amendment conflicts with mandatory law

A notarised signature does not validate a clause that is prohibited or legally ineffective.

Practical Corporate Checklist

  2. Obtain the current MOA/articles and licence.
  3. Identify the proposed amendment.
  4. Check the approval threshold and approving corporate body.
  5. Verify every signatory's authority.
  6. Prepare the resolution and amendment consistently.

  8. Authenticate foreign corporate documents where required.
  9. Confirm the current notarial or electronic signing route.
  10. Complete the commercial-register update after execution.
  11. Update banks, tax, beneficial-ownership and other records where the change affects them.
