That is the practical risk here. Because Meydan sits in Dubai alongside several other zones, documents are often reused from a previous DMCC or DAFZ matter. The regulations differ, and a resolution that satisfied one registrar carries no assurance for another.
Tracing Corporate Authority
The published Meydan Free Zone regulations address directors, company registers and management powers. Corporate authority should be traced through those rules together with the company’s own constitutional documents, rather than inferred from job titles or from the licence.
Where a company register records appointments and powers, it is the reference point for whether the person signing may do so — and keeping it current is part of keeping the company able to transact.
Branch General Managers and POAs
The regulations expressly contemplate that a branch general manager’s powers may be set out in a Power of Attorney granted by the company or foreign company, and executed by an appropriately authorised person under the applicable law.
The final clause carries the weight. For a foreign company, the authority of the person signing a POA or corporate approval must be valid under the law and constitutional framework of that company — not merely acceptable-looking from a UAE perspective. Establishing that before execution is what makes the instrument reliable, particularly where it will also be legalised abroad.
Filing Company Changes
Shareholder, director, manager, licence and other company changes should be filed through the current Meydan Free Zone process. Before preparing a resolution or POA, obtain the current transaction checklist and confirm whether signatures, corporate evidence or foreign documents require certification, notarisation or legalisation.
Confirming that at the checklist stage, rather than assuming it, is what prevents a document being executed and then found to need a formality that can only be completed abroad.
