A mortgage Power of Attorney in the UAE should expressly address the finance and property acts the representative is permitted to perform. Mortgage authority is materially different from a routine property-management or purchase POA because it can enable the creation, amendment, transfer or discharge of security over valuable real estate and may involve bank commitments. Dubai Land Department's current mortgage-registration guidance expressly recognises a legal POA where a representative acts for the owner, while the transaction also requires bank and property documentation. The POA should therefore be drafted against the lender's mandate and the relevant land authority's current requirements.

What a Mortgage POA Can Cover
Depending on the client's instructions, a mortgage POA may authorise an attorney to:
- sign mortgage-registration documents;
- deal with the mortgagee bank;
- submit property and identity documents;
- attend or use the relevant land-registration channel;
- sign specified finance documents where the bank accepts representation;
- obtain developer NOCs for provisional/off-plan property where applicable;
- register a mortgage;
- transfer a mortgage from one lender to another;
- discharge or release a mortgage;
- receive transaction outputs and certificates;
- pay official transaction charges.
These powers should not be assumed from a general property POA.
Dubai Mortgage Registration
DLD's current Mortgage Registration service states that individuals applying through trustee offices require a letter from the mortgagee bank, certified mortgage contracts, identification, and—where a representative acts—a legal Power of Attorney. For provisional-sale properties, an electronic developer NOC is also identified among the required documents.
The exact checklist differs for individuals, establishments and companies. The DLD service should be checked at the time of filing.
Mortgage Transfer Between Banks
DLD separately publishes a Mortgage Transfer service. Its current requirements include a no-objection letter from the previous bank, a letter from the new bank, certified mortgage contracts, applicable developer NOC and a legal POA where a representative acts.
This illustrates why a mortgage POA should identify whether the attorney can merely register an initial mortgage or also refinance and transfer security between lenders.
DLD Validity Rule
DLD's current FAQ states that, for its property-transaction purposes, a POA used for sale, mortgage and grants is valid for two years from the date of notarisation. The same FAQ states a five-year period for purchase POAs.
The two-year DLD mortgage rule should be checked again on the transaction date. It is an authority-specific operational requirement and does not mean every mortgage POA should automatically remain in force for two years.
Bank Requirements Matter
A notarised POA does not compel a bank to accept representation for every finance document. Banks apply KYC, credit, security and signing requirements and may insist on their own wording or personal execution for particular obligations.
Before the POA is finalised, obtain the lender's requirements. This is particularly important where the attorney may sign:
- facility agreements;
- mortgage contracts;
- promissory or security documents;
- account mandates;
- disbursement instructions;
- refinancing documents;
- settlement or early-repayment documents.
Borrowing Authority vs Mortgage Authority
Authority to mortgage an asset and authority to borrow money are legally and commercially distinct. A principal may be comfortable allowing an attorney to register security for a pre-approved facility but not to negotiate or increase borrowing.
The instrument should also state expressly whether the attorney may acknowledge indebtedness on the principal’s behalf. That is a distinct act from signing facility documents or registering a security, and it should never be assumed to follow from either.
The POA should separate these concepts where the transaction requires control. Broad language authorising “all banking and property matters” can create avoidable ambiguity.
Purchase Plus Mortgage
A property investor may need one representative to complete both acquisition and finance. In that case, the POA can be drafted to cover the connected acts, but each power should still be explicit.
The DLD rules also distinguish the validity period used for purchase POAs from those used for mortgage-related transactions. A combined instrument should therefore be reviewed against the exact DLD and lender requirements rather than relying on a generic template.
Corporate Mortgagors
Where the property owner is a company, the file should establish:
- the company's legal ownership of the property;
- authority under its constitutional documents;
- board/shareholder approval where required;
- authority of the person granting the POA;
- authority to borrow and grant security;
- any restrictions on disposal or encumbrance of assets;
- current licence and company documents;
- beneficial-ownership or regulatory requirements where relevant.
A manager's ordinary operational authority should not automatically be treated as authority to mortgage substantial company assets.
Foreign Owners and Overseas Execution
An owner outside the UAE may execute a POA abroad for UAE use, subject to the applicable authentication chain. DLD publishes a route for foreign-issued POAs involving formal ratification in the country of origin, the UAE diplomatic mission and UAE MOFA.
The final wording should be agreed before the overseas notarisation/legalisation chain begins. Certified Arabic legal translation may be required.
Identity and Property Information
A mortgage POA should use accurate party and property details. Depending on the transaction, this may include:
- principal's passport and Emirates ID details;
- attorney's identity details;
- title deed or property details;
- lender name;
- facility or approval details;
- developer and project information;
- existing mortgage information for refinancing;
- company details for corporate owners.
Overly generic property descriptions can create uncertainty at registration.
Revocation and Completion
Once the mortgage transaction is completed, the principal should consider whether the POA is still needed. A continuing mortgage power can be commercially sensitive.
Revocation should be completed through the applicable legal/notarial process, and relevant banks or authorities may need to be notified where the POA has already been lodged or relied on.
Fees and Costs
The cost structure can include:
- official notarial fees;
- DLD mortgage registration or transfer fees;
- trustee/service charges;
- bank fees;
- developer NOC charges where applicable;
- certified legal translation;
- foreign legalisation and MOFA attestation;
- professional legal drafting and review.
Cabinet Resolution No. 19 of 2024 contains the federal notarial fee framework, but it should not be used as a substitute for DLD, bank or other authority fee schedules.
Common Mortgage POA Risks
Borrowing powers are broader than intended
The principal may intend one approved mortgage but the draft allows new borrowing generally.
The bank's wording is not checked
A legally notarised document can still be unsuitable for the lender's internal requirements.
Refinance powers are omitted
An attorney authorised only to register an initial mortgage may not have sufficient authority to transfer or discharge it.
Corporate approval is incomplete
A company may require higher-level approval to encumber property.
Foreign execution is defective
An incomplete authentication chain can prevent UAE use.
The POA remains active unnecessarily
High-risk financial powers should not remain outstanding without a continuing business reason.
Practical Mortgage POA Checklist
- Identify the property and owner.
- Identify the lender and approved finance transaction.
- Obtain the bank's POA wording requirements.
- Confirm whether the attorney may borrow, mortgage, refinance, transfer or discharge.
- Limit financial powers to the intended transaction where appropriate.
- Review title and existing mortgage information.
- For companies, verify constitutional and board/shareholder authority.
- Confirm DLD or the relevant land authority's current POA requirements.
- For an overseas principal, confirm the authentication route.
- Arrange certified Arabic translation where required.
- Verify current official fees.
- Review whether the POA should be revoked after completion.
